MiCA application begins July 1: what it means for institutional counterparties

TL;DR

  • July 1, 2026 is the deadline for application of MiCA in the European Economic Area.
  • For institutions, this is a counterparty risk problem, not just a problem of access to the product. An unauthorized custodian or execution venue creates an actual compliance gap that impacts CCO approval, LP reporting, and audit defensibility.
  • Kraken is licensed under MiCA through the Central Bank of Ireland and holds MiFID authorizations for derivatives from the Securities and Exchange Commission of Cyprus, as well as Wyoming State Chartered Bank (fully reserved) and FCA registration. The full platform remains open after July 1, with no product interruption.
  • Before the deadlineInstitutions that re-configure can consolidate custody, execution, and funding onto a single authorized platform instead of managing counterparties that may face restrictions.

The situation

July 1, 2026 is the deadline for strict enforcement across the entire European Economic Area. The European Securities and Markets Authority (ESMA) has confirmed that there will be no extension. After this date, any entity providing cryptoasset services to EU clients without a MiCA license is in breach of EU law and must cease. There is no intermediate or “pending” status: either a company is authorized or it is not.

The pressure on the market is real. Of the more than 1,200 companies that held national registrations before MiCA across the bloc, only a small portion obtained full CASP authorization, and several member states issued no licenses at all. Among the largest platforms, Binance’s MiCA application in Greece was reportedly rejected, a characterization disputed by the company, and Bitget said it would not offer services in the European Economic Area until its own authorization was granted.

For companies still operating on platforms without EU authorization, this is a counterparty risk issue, not just a product access issue. For institutions, the stakes are higher than for retail. CCO approval, LP reporting, and audit defensibility all depend on who you hold assets with and through whom you execute them. An unauthorized custodian or execution venue creates a real compliance gap.

What MiCA really means for institutions

MiCA is not lightweight recording. For crypto-asset service providers, this requires:

  • Mandatory segregation of assets, customer funds are therefore legally separated from a provider’s operational funds.
  • Capital requirements and governance frameworks which are independently applied rather than self-certified.
  • Ongoing regulatory oversight under the aegis of a national financial authority.

For custodian clients, MiCA-permitted custody means assets are held within a regulated framework that your risk committee can sign off on: legally separate remote storage in the event of bankruptcy with defined governance and oversight. It’s not just a safe; it is a regulated structure.

For OTC clients, MiCA authorization means that your execution counterparty operates under direct regulatory oversight with mandatory capital requirements. If your current OTC platform loses authorization, you may lose access to settlement, pricing and liquidity, potentially in the middle. Executing with an authorized counterparty removes this operational and compliance risk.

Why Kraken

Why Kraken for custody clients

  • Qualified guard that is legally separate and bankruptcy remote, using MPC with FIPS validated HSMs and on-chain verifiable proof of reserves.
  • A long history of exploitation since 2011, with no violations leading to loss of client funds, SOC 2 Type 2 and quarterly independent proof of reserves.
  • Assets that continue to function without leaving their custody, including BTC staking, lending and yield strategies available within the custodial relationship.
  • Coverage in the United States, European Union and United Kingdom through Wyoming State Chartered Bank (fully reserved) and FCA registration.

Why Kraken for OTC clients

  • A regulated OTC desk, operational after July 1 without change in execution or regulation.
  • Large private blocks filled, competitive prices and direct access to the office.
  • Significant liquidity in EUR and depth of the stable pair through the major pairs.
  • T+1 settlement and EUR financing rails.
  • Spot and futures under regulated entities through the Payward Group.
  • The custody option with Kraken and access loans and staking within the same relationship.

What to do before July 1

Institutions reviewing their configuration should move or consolidate their assets before July 1, not after. Kraken can provide a set of regulatory documents covering MiCA authorization, SOC 2 Type 2, proof of reserves and entity structure.
